Last updated: 12/12/2023 SOFTWARE USAGE AND LICENSING AGREEMENT 1. Acceptance of Terms This Software Usage and Licensing Agreement ("Agreement") is between the licensee ("User") and Redwing.ai ("Provider") for the Vector Database ("Software") hosted on Docker Hub and accessed via a gRPC service. 2. Grant of License Upon payment, the Provider grants the User a non-exclusive, non-transferable license to use the Software. This license allows use on a specific number of cores, as enabled by the provided license key. 3. License Fee and Payment The User agrees to pay a license fee. The fee is non-refundable and grants access to the Software as per the license key. Fees and payment terms are specified separately. 4. Scope of Use The Software is for the User"s internal business use only. Redistribution, resale, modification, reverse engineering, or disassembling of the Software is prohibited. 5. Intellectual Property All intellectual property rights in the Software remain with the Provider. The User is granted a license, not a sale of rights. 6. No Warranty The Software is provided "as is", without warranty of any kind. The Provider disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. 7. Limitation of Liability The Provider is not liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Software. 8. Support and Maintenance Support and maintenance services, if provided, are governed by separate terms and are not included in this Agreement. 9. Termination This Agreement is effective until terminated. Non-compliance by the User will result in automatic termination. Upon termination, the User must cease all use and destroy all copies of the Software. 10. Modifications to Agreement The Provider may modify this Agreement. Continued use of the Software after modifications constitutes acceptance of these changes. 11. Governing Law This Agreement is governed by the laws of the United States of America. 12. Severability If any provision is found unenforceable, the remainder of the Agreement remains in effect. 13. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings or agreements. By using the Software, the User acknowledges and agrees to these terms and privacy policy.
